The successful candidate will be involved in a wide range of legal tasks, including creating legal documents, revising existing templates, and drafting communications for both internal and external parties.


    Responsibilities

    • Creating and modifying Independent Contractor Agreements, NDAs, Equity Term Sheets, and Investment Memos

    • Drafting Memorandums of Understanding (MOUs) and Letters of Intent (LOIs)

    • Analyzing and summarizing basic commercial contracts and transaction documents

    • Participating in deal meetings, drafting follow-up correspondence, and creating summaries

    • Writing internal staff memos and external operational correspondence

    • Assisting with basic corporate upkeep and entity maintenance

    • Developing new templates or modifying existing ones based on deal context and past precedent

    • Leveraging AI tools to streamline the drafting process

    • Ensuring all deliverables are in order and prepared for attorney or executive-level review

    • Minimum of 5 years of experience as a Paralegal
    • Excellent communication skills
    • Proficient in Corporate Law
    • Experience in drafting and reviewing contracts
    • Familiarity with maintaining Corporate Minutes Book
    • Experience in Entity Formation
    • Ability to draft agreements
    • Experience with NDA - Non-Disclosure Agreements
