We are partnering with a mid-sized prestigious law firm in the Twin Cities Metro seeking an experienced Corporate Attorney. The ideal candidate will have 10+ years' experience handling both traditional and complex transactions, including corporate finance, mergers and acquisitions, closely held business structuring, and tax planning.

Key Responsibilities:
- Advise clients on medium and large mergers & acquisitions, including due diligence, structuring, negotiation, and closing.
- Represent growth-stage entities in various corporate matters, including financing and governance.
- Handle private placements and financing transactions, including equity, debt, and mezzanine financing.
- Structure and restructure debt and equity transactions, ensuring compliance with legal and regulatory requirements.
- Manage sale-leaseback transactions and advise clients on private equity matters.
- Draft, review, and negotiate transactional documents to facilitate smooth closings.
- Provide strategic guidance on closely held business structuring and tax planning considerations.
• Candidate must have a minimum of 5 years of experience in the detail-oriented services industry, specifically as an Attorney/Lawyer.
• Possess a Juris Doctor (JD) degree from an accredited law school.
• Must have a valid license to practice law in the relevant jurisdiction.
• Demonstrated expertise in Mergers & Acquisitions (M& A) is required.
• A solid understanding and experience in Corporate Governance is essential.
• Proven ability to manage multiple clients and cases simultaneously.
• Excellent communication and negotiation skills are a must.
• Strong analytical and problem-solving skills are necessary.
• Should have a high level of detail-oriented ethics and integrity.
• Previous experience in a law firm or in-house legal department is preferred.
• Proficiency in legal research tools and software is essential.
• Must be detail-oriented and have the ability to work under pressure.
• Should be able to work independently and as part of a team.
• Proven track record of client satisfaction and relationship management is a plus.Qualifications:
- 7+ years of experience in corporate law from private practice, or a combination of private practice & in-house.
- Portable book of business preferred (no minimum #) but not required.
- Ability to advise clients on corporate finance, private equity, and tax-related considerations.
